Corporate Identity & Binding Agreement
These Terms and Conditions constitute a legally binding agreement entered into between you (whether acting individually or representing a commercial, institutional, or government entity, hereinafter "Client", "Customer", "User", or "Subscriber") and Qim Lab Enterprise (Malaysian Companies Commission / SSM Registration No: 202603007186 / 003810616-X), with its principal business address in Malacca, Malaysia ("Company", "we", "us", or "our").
By accessing our websites (qimlab.com.my and associated subdomains), subscribing to our SaaS applications (including Campus Hub at campushub.my), signing an official quotation or Statement of Work (SOW), issuing a purchase order, or engaging our engineering, civil, or machining teams, you explicitly confirm that you have read, understood, and agreed to be bound by the entirety of these Terms.
Multi-Industry Service Scope
Qim Lab Enterprise operates as a centralized multi-industry business entity coordinating specialized service deliveries through three dedicated divisional operations:
1. QL Studio (IT / Dev)
Campus Hub SaaS platform, custom web & mobile app development, system integrations, and public open-source utilities (project_iman, MyMET).
2. QL Civil & Electrical
Minor building renovations, office partition works, single/three-phase electrical wiring, safety audits, and site infrastructure maintenance.
3. QL Fabrication
Precision Lathe and Milling machining, minor mold fabrication, CNC prototyping, custom cylindrical turnings, and industrial spare part manufacture.
Division-Specific Operational Terms & SLAs
3.1 IT & Software Development Terms
- Campus Hub SaaS Platform (campushub.my): We provide multi-tenant school/institutional management on an active subscription basis. We strive to maintain 99.5% service availability during academic operating periods, excluding pre-announced routine maintenance. Subscribers are responsible for maintaining secure administrative credentials.
- Open Source & Community Applications: Software distributed publicly under open licenses (such as project_iman or MyMET) is provided strictly "as-is" without warranty of merchantability or fitness for a particular purpose. Qim Lab Enterprise maintains copyright attribution while enabling free community adoption.
- Custom Application Development: Bespoke mobile (iOS/Android) and web software projects operate under signed milestone schedules. We provide a thirty (30) day defect warranty post-handover to resolve reproducible functional bugs within the agreed scope. Feature additions outside initial specifications are billed as variation work orders.
3.2 Civil & Electrical Contracting Terms
- Site Clearances & Permits: The Client is solely responsible for procuring building management approvals, renovation permits, and uninhibited physical site access prior to team mobilization.
- Malaysian Electrical Standards: All electrical installations comply strictly with Malaysian Energy Commission (Suruhanjaya Tenaga) standards. If hazardous or illegal pre-existing wiring is uncovered during installation, work on connected circuits will pause until safety remediation is approved.
- Concealed Site Anomalies: Hidden piping, obsolete structural cavities, or concealed hazardous materials not visible during visual preliminary inspection will be documented and quoted as formal variation orders prior to remediation.
3.3 Precision Fabrication (Lathe & Milling Machining) Terms
- Technical Drawing Approvals: Minor molds, shafts, bushings, gears, and custom turned or milled objects are machined based on client-approved CAD files (DXF, DWG, STEP) or approved physical reference samples.
- Manufacturing Tolerances: Unless higher precision is explicitly contracted in writing, standard machining tolerances per ISO 2768-m (or applicable engineering standards) apply.
- Customer-Supplied Stock: Where the Client supplies their own raw stock (metals or plastics), Qim Lab Enterprise exercises reasonable craftmanship but cannot be held liable for internal material defects, metallurgical fatigue, or hidden voids.
Intellectual Property Rights & Ownership
Proprietary Platforms: All proprietary software architectures, visual designs, database schemas, and algorithms comprising Campus Hub (campushub.my) and Qim Lab Enterprise internal tooling remain the sole, exclusive intellectual property of Qim Lab Enterprise.
Client Custom Code: Upon complete and final payment of all invoiced milestone amounts, Qim Lab Enterprise assigns to the Client full ownership and title to the bespoke source code developed exclusively for that project, excluding third-party open-source libraries and our proprietary pre-existing background code.
Client Blueprints & CAD Data: The Client warrants that they hold lawful title to all engineering drawings, CAD files, and specifications provided for manufacturing or development. The Client indemnifies Qim Lab Enterprise against any third-party intellectual property infringement claims arising from machining or developing to client-provided drawings.
Invoicing, Quotations & Payment Schedules
- Currency: All fees, quotes, and invoices are rendered in Malaysian Ringgit (MYR).
- Validity: Official quotations issued by Qim Lab Enterprise are valid for thirty (30) calendar days from the date of issue unless specified otherwise in writing.
- Payment Gateways & Methods: Payments may be remitted via our authorized payment partner Curlec by Razorpay, FPX Online Banking, corporate debit/credit cards (Visa/Mastercard), DuitNow QR, or direct electronic bank transfer (Maybank/CIMB).
- Milestone Settlement: Invoiced milestone payments are due within seven (7) business days. Work on subsequent milestones or material delivery may be suspended until preceding invoices are cleared.
- Mobilization Deposits: For civil works and custom machining, mobilization and material procurement deposits are required prior to purchasing supplier stock or dispatching field teams.

Limitation of Liability & Disclaimers
To the fullest extent permitted by Malaysian law, Qim Lab Enterprise, its proprietors, affiliates, employees, and contractors shall not be held liable for any indirect, consequential, punitive, or special damages, including loss of business profits, lost revenue, machinery downtime, or data corruption.
Our maximum aggregate financial liability arising out of or related to any contract, warranty, or tort (including negligence) shall be strictly capped at the total amount actually paid by the Client to Qim Lab Enterprise for the specific project, service milestone, or subscription cycle in dispute during the three (3) months preceding the event giving rise to the claim.
Termination & Service Suspension
Either party may terminate a project agreement upon fourteen (14) days written notice if the other party breaches any material term of these Conditions and fails to remedy such breach within the notice period.
Qim Lab Enterprise reserves the right to immediately suspend platform access (including Campus Hub SaaS tenants) or halt on-site civil works if invoiced amounts remain unpaid past the due date or if unlawful usage is detected. In the event of early termination, the Client remains obligated to pay for all documented work completed and non-cancellable raw materials procured up to the date of termination.
Governing Law & Dispute Resolution
These Terms and Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Malaysia.
In the event of any controversy or dispute, the parties agree to first engage in good-faith amicable executive negotiation for a period of thirty (30) days. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Malaysia.
